Prabha Sipi Bhandari

Prabha Sipi Bhandari joined Paychex in 2024 and serves as the company’s chief legal officer, chief ethics officer, and secretary and is a member of the company’s senior executive leadership team. She leads a team of lawyers and professionals responsible for all Paychex legal functions and the company’s charitable foundation.

Bhandari brings more than 25 years of legal experience to the role, most recently serving as senior vice president, deputy general counsel and corporate secretary at American International Group (AIG). In this leadership role, Bhandari oversaw the company’s New York Stock Exchange and Securities & Exchange Commission compliance and legal support of capital markets, mergers and acquisitions, cyber and privacy, innovation, intellectual property, information technology, procurement, and real estate. As corporate secretary, she also served as the primary liaison to AIG’s Board of Directors. Prior to joining AIG, Bhandari was senior vice president and principal deputy general counsel at Freddie Mac, where she had broad oversight responsibility for the legal division.

Prior to Freddie Mac, Bhandari held leadership roles at Deutsche Bank, including as general counsel of Deutsche Bank Securities Inc., Deutsche Bank’s US registered broker-dealer, and at Viacom (now Paramount Global). Prior to these positions, Bhandari was an associate at Davis Polk & Wardwell. She began her legal career as a law clerk for the Honorable John M. Duhé, Jr. of the Fifth Circuit Court of Appeals.

Bhandari received her J.D. from New York University School of Law and her B.S. in industrial and labor relations from Cornell University. She serves as a member of the Steering Committee of the Women in M&A Network, NY chapter, and the Private Sector Steering Committee of the South Asian Bar Association of New York and as a director on several charitable organizations.
